1. Terms of Use
1.1 These terms and conditions ("Terms"), together with the Privacy Policy, govern your use of the website which we, Leave It Late, operate from the URLs "leaveitlate.com", "leaveitlate.co.uk" and other related 'leaveitlate' sites which we operate ("Website").
1.2 Leave It Late is a trading name of Richardson Hotels Ltd, a company incorporated in England and Wales with company number 04241043, whose registered office is at 65 Daisy Bank Road, Manchester, M14 5QL. Our VAT number is 780 8096 03.
1.3 By using the Website you agree to be bound by the Terms. If you do not agree to be bound by the Terms, please do not access or use the Website. You will be deemed to have accepted the Terms each time you access the Website.
1.4 Additional terms and conditions may apply to competitions, offers and certain other services on the Website. Where this is the case, you will be alerted to these additional terms and conditions.
1.5 If you have any comments or questions about these Terms or the Website, please contact the Leave It Late Administration Team.
2. General Use of the Website
2.1 You may download and temporarily store any part of the Website in order to view and/or print such part of the Website on a stand alone personal computer for your own private, non-commercial purposes, providing you do not remove any copyright or proprietary notices and providing you do not copy or transmit such part of the Website in any medium to any other person for any purpose.
2.2 You may not use, adapt, alter or create derivative works from any of the material or content of the Website in any way except for your own personal, non-commercial use.
2.3 You agree to use the Website only for lawful purposes and in a way which does not restrict anyone else's use or enjoyment of the Website.
3. Contractual Relationship
3.1 Leave It Late acts as a booking agent for various hotels, hostels, B&Bs and other providers of similar accommodation and related services ("Hotels"). We are authorised to accepting bookings on their behalf.
3.2 As booking agent, however, we are not a party to any contract formed between you and any Hotel through the use of this Website. Therefore, you should raise any queries or issues directly with the Hotel regarding your stay with them.
3.3 Each Hotel may have its own terms and conditions which will form part of the contract between you and the Hotel and which shall govern the legal relationship between you and the Hotel. If you would like a copy of a particular Hotel's terms and conditions, please contact them directly. In addition, each Hotel has agreed to the uniform cancellation policy set out at clause 5 below.
4. Booking Procedure
4.1 The booking procedure is a four step process.
4.2 Firstly, you can check the available room types, facilities and prices for visit to a Hotel.
4.3 Secondly, you will be asked to provide various personal information about yourself, such as your name, email address, telephone number and payment card details. This information will be used in accordance with our Privacy Policy.
4.4 Thirdly, you will be asked to confirm and submit all these details to us. This constitutes an offer by you to the Hotel. We are free to accept or reject this offer on behalf of the Hotel.
4.5 Fourthly, if we accept, we will notify you on-screen and by email confirming the details of the contract. We will deduct payment from your payment card.
4.6 We try to correct any errors on our Website when we become aware of them. However, if there is an obvious pricing error on the Website which forms part of a contract with you, we reserve the right to cancel that contract on behalf of the relevant Hotel and refund the price paid by you.
5. Cancellation Policy
5.1 You may cancel any booking which you have made through our Website up to and including 28 calendar days prior to your arrival date, providing you following the procedure below. You cannot cancel any booking made through our Website less than 28 calendar days prior to your arrival. Consequently, if you book your stay with an arrival date of less than 28 calendar days in the future, you will not be able to cancel your booking or receive any cancellation refund.
5.2 If you would like to cancel your booking, you should log-in to the Website and click the cancellation button in relation to the relevant booking and follow the on-screen procedure. We will then arrange for your booking to be cancelled and we will refund the payment received in respect of this booking, using the same payment details as you provided to make the booking. We will send you an email to confirm that your booking has been cancelled.
6. Information and Intellectual Property Rights
6.1 Information on the Website relating to each Hotel has been placed on the Website by representatives of the Hotel. It does not mean that Leave It Late endorses or recommends that Hotel. You will need to decide for yourself whether the Hotel meets your requirements.
6.2 The content and material of the Website (including, but not limited to, its design, text, graphics and the selection and arrangement thereof, source code and all software and software compilations) are subject to copyright, trade marks, database rights, design rights and other intellectual property rights of Leave It Late, Hotels and/or third parties ("IPR"). Subject to clause 2, your use of the Website does not constitute a licence for you to use any such IPR.
6.3 If you contribute any material to the Website (such as any text, photographs or graphics), you agree to the following terms:
6.3.1 you agree to follow the house rules set out at clause 7;
6.3.2 you agree that you own or are otherwise entitled to contribute such material to us under these Terms;
6.3.3 such materials (or any part of which) are not defamatory, obscene, offensive, abusive, unlawful, inaccurate or otherwise infringe any applicable law or any third party rights;
6.3.4 you agree that you have obtained from any person depicted in such material any consents necessary for you to contribute such material under these Terms;
6.3.5 you grant us a perpetual, world-wide, non-exclusive, sub-licensable, royalty-free licence to use, translate, adapt, modify, create derivative works from, copy and/or publish such material for any purpose. This may include transferring the material abroad (for example over the internet) to countries where there are less stringent data protection laws in place. We may also wish to use such materials for marketing and promotional purposes. If you do not want to grant us these rights, please do not submit your materials to us;
6.3.6 you waive any moral rights in respect of such materials;
6.3.7 you will still own the copyright in any materials which you contribute, although we reserve the right to refrain from publishing your name alongside the material. We may also edit any such material.
6.3.8 we cannot guarantee that we will use all or any of the material which you submit and we reserve the right to remove any material on our Website without notice;
6.3.9 you agree to indemnify us, our affiliates and the Hotels against any losses, costs, expenses, charges and/or liabilities which we may incur as a result of your breach of this clause 6.3
7. House Rules
7.1 You agree to following the house rules set out in this clause 7 ("House Rules") in relation to your use of the Website, including any participation in any of our discussion forum(s).
7.2 We may monitor any contributions which are made to the Website. We and/or any Hotel may respond to any contributions made by you, and we may edit, refuse to post, or remove any contributions to the Website made by you in our absolute discretion
7.3 You will not contribute any material which:
7.3.1 is or may be regarded as offensive or abusive (including any swear words or other words likely to cause offence);
7.3.2 is sexist, racist, ageist, homophobic or otherwise offensive and/or discriminatory;
7.3.3 is sexually explicit and/or pornographic;
7.3.4 is (or encourages or condones acts which are) in breach any applicable law (including laws of defamation, data protection and breach of copyright);
7.3.5 encourage or condones activities which are unsafe;
7.3.6 reveals any personal contact details (eg email address, telephone number, address) or personal information relating to anyone else;
7.3.7 is 'spam' or which advertise products for commercial gain;
7.3.8 is in a language other than English;
7.3.9 is not directly relevant to the discussion taking place in the forum.
7.4 If you are under 16, please obtain the permission of your parent or guardian before contributing any material to the Website.
7.5 If you would like to complain about any contribution posted on the Website, please click the appropriate notification button beside that contribution and provide details of your complaint.
7.6 Any failure by us to remove any contribution posted on the Website (whether such contribution was the subject of a complaint or not) shall not constitute our endorsement or acceptance of it.
7.7 If you breach these rules:
7.7.1 we may contact you to explain how the rules have been breached;
7.7.2 we may remove any of your messages which contravene the House Rules;
7.7.3 we may suspend or ban you from any of our discussion forum(s); and/or
7.7.4 depending on the nature of the breach, we may inform relevant third parties to stop any further infringements, such as the police, your employer, school or internet service provider.
8. Disclaimer
8.1 The material and content of the Website is provided "as is", without any warranties of any kind (whether express or implied by law) including (but not limited to) warranties of satisfactory quality, fitness for a particular purpose, non-infringement of intellectual property rights, compatibility and security.
8.2 We do not warrant that the Website's content or material will be accurate, complete or free from errors, bugs or viruses. We make no commitment to update or keep up to date the material or content of the Website or to remedy any defects. We do not warrant that functions and/or access to the Website will be uninterrupted.
9. Liability
9.1 Leave It Late is a booking agent for the Hotels. As such, any queries relating to your stay should be raised with the relevant Hotel directly. We are not responsible for the provision of services to be provided by any Hotel and the Hotel takes responsibility for any content which they place on the Website.
9.2 Subject to clause 9.3, Leave It Late shall not be liable for any damages whatsoever (including, without limitation, those resulting from business interruption, loss of profits, loss of data, and/or servicing or repairs to equipment or data) arising out of the use, misuse or inability to use the Website or its content or material, whether based on warranty, contract, tort or any other legal doctrine.
9.3 Nothing in the Terms excludes or restricts Leave It Late's liability for fraud, death or personal injury caused by its negligence, or any other matter which cannot be excluded or restricted by law.
10. Updates and modifications
10.1 We reserve the right to make changes at any time without notice to:
10.1.1 the Terms;
10.1.2 the Privacy Policy; and/or
10.1.3 the Website (including, without limitation, its content, material and operation).
10.2 Any such changes will be effective immediately upon posting on the Website. You signify your acceptance of these changes by your continued use of the Website.
11. Links, Advertising and Sponsorship
11.1 The Terms only govern the Website. Any other website to which you link from this Website is governed by its own terms and conditions. We accept no responsibility or liability for the content or operation of such other websites.
11.2 Any advertising or sponsorship material on the Website does not constitute an endorsement or guarantee of any kind in respect of such material. We will not be responsible for any loss or damage incurred as a result of your dealing with our advertisers or sponsors nor from the presence of such material on the Website.
11.3 If you would like to establish a link to this site, please contact the Leave It Late Administration Team for their prior approval.
General
12.1 Unless otherwise specified, the materials on the Website are directed solely at users in the United Kingdom. If you access this Website from locations outside the United Kingdom you are responsible for compliance with local laws if and to the extent local laws are applicable.
12.2 Notwithstanding clause 12.1, if any provision of the Terms is found to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country then, within such state or country, to the extent such provision is illegal, invalid or otherwise unenforceable it shall be severed from these Terms. Any such illegality, invalidity or unenforceability shall not affect the other provisions of the Terms, which shall remain in full force and effect.
12.3 These Terms and any matter arising from or in connection with these Terms shall be governed by and construed in accordance with English law and the English courts shall have exclusive jurisdiction over any claim or matter arising from or in connection with these Terms.
